5. Service Agreements

When you engage Strata Initiative for professional services, the specific terms of that engagement will be governed by a separate Service Agreement. These Terms of Service apply to your use of our website and general services, while the Service Agreement will govern the specific project or engagement.

In the event of any conflict between these Terms and a Service Agreement, the Service Agreement shall prevail with respect to that specific engagement.

6. Payment Terms

Payment terms for our services will be specified in your Service Agreement. Generally:

• Invoices are due within the timeframe specified in your agreement
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise specified

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our engagement. This obligation survives termination of the relationship and will be further detailed in our Service Agreements and Non-Disclosure Agreements.

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties, if any, will be set forth in your Service Agreement.

EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS OR YOUR SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRATA INITIATIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Strata Initiative, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of our services or violation of these Terms.

11. Termination

We reserve the right to terminate or suspend your access to our services immediately, without prior notice, for any reason, including but not limited to:

• Breach of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• At our sole discretion

Upon termination, your right to use our services will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
