Acceptance of terms

By accessing and using the Strata Initiative website and services, you accept and agree to be bound by these terms of service. If you do not agree to them, please do not use our services.

Description of services

Strata Initiative provides engineering services and software products, including but not limited to:

• Research, prototyping and proof-of-concept engagements
• Technical discovery, feasibility assessment and trade studies
• DevOps and platform engineering services
• Implementation specifications and handover documentation
• The WildHire hiring platform (in early access)
• The Logflash observability platform

Use of services

Permitted use

You agree to use our services only for lawful purposes and in accordance with these terms. You agree not to:

• Violate any applicable laws or regulations
• Infringe the rights of others
• Transmit harmful, offensive or illegal content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services
• Use our services to compete with us or harm our business

Account responsibility

If you create an account with us, you are responsible for keeping your credentials confidential and for all activity that occurs under your account.

Eligibility

Our services are intended for businesses and for individuals who are at least 18 years old and able to enter into binding contracts. By using our services you confirm that you meet these requirements.

Intellectual property

All content, features and functionality of our services, including text, graphics, logos, icons, images and software, are the exclusive property of Strata Initiative and are protected by international copyright, trademark and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display or otherwise exploit any content from our services without our express written permission.

Service agreements

When you engage Strata Initiative for professional services, the specific terms of that engagement are governed by a separate service agreement. These terms of service apply to your use of our website and general services; the service agreement governs the specific project or engagement.

If these terms conflict with a service agreement, the service agreement prevails for that engagement.

Payment terms

Payment terms for our services are specified in your service agreement. In general:

• For prototype and proof-of-concept engagements, the scope is agreed in writing before work begins and the prototype is built and demonstrated before invoicing
• Ownership of prototype source code, design assets and implementation documentation transfers on payment in full, as set out in your service agreement
• Where a proof of concept is hosted on our infrastructure, cloud costs above USD 100 are rechargeable to you
• Invoices are due within the timeframe specified in your agreement
• Late payments may incur interest charges
• We reserve the right to suspend services for missed payment
• All fees are final unless your agreement states otherwise

The specific terms of any engagement, including ownership and licensing of work product before and after payment, are governed by your signed service agreement, which prevails over this page.

Confidentiality

Both parties agree to keep confidential any proprietary or confidential information disclosed during an engagement. This obligation survives the end of the relationship and is detailed further in our service agreements and nondisclosure agreements.

Third-party services and links

Our website and services may reference or link to third-party websites, products or services that we do not control. We are not responsible for their content, policies or practices, and a link is not an endorsement.

Feedback

If you send us ideas, suggestions or feedback about our services, you agree that we may use them without restriction or obligation to you, except as set out in a service agreement or nondisclosure agreement between us.

Warranties and disclaimers

Service warranties

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Any specific warranties are set out in your service agreement.

Disclaimers

Except as expressly set out in these terms or your service agreement, our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose or noninfringement.

Limitation of liability

To the maximum extent permitted by law, Strata Initiative is not liable for any indirect, incidental, special, consequential or punitive damages, any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill or other intangible losses.

Our total liability for any claims arising out of or relating to these terms or our services will not exceed the total amount you paid us in the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend and hold harmless Strata Initiative, its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or connected with your use of our services or your violation of these terms.

Termination

We reserve the right to terminate or suspend your access to our services immediately and without prior notice for any reason, including but not limited to:

• Breach of these terms
• Fraudulent or illegal activity
• Missed payment of fees
• At our sole discretion

Upon termination, your right to use our services ends immediately. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers and limitations of liability.

Governing law and dispute resolution

These terms are governed by the laws of the jurisdiction in which Strata Initiative is registered, unless your service agreement specifies otherwise.

Any dispute arising out of or relating to these terms or our services will be resolved as set out in your service agreement or, where none applies, in the courts of that jurisdiction.

Changes to these terms

We may modify these terms at any time. We will post material changes on this page and update the date at the top. Continued use of our services after a change means you accept the updated terms.

Severability

If any provision of these terms is found unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions stay in full force and effect.

Assignment

You may not assign or transfer these terms or any rights under them without our prior written consent. We may assign these terms in connection with a merger, acquisition or sale of assets.

No waiver

Our failure to enforce any provision of these terms is not a waiver of that provision or of our right to enforce it later.

Entire agreement

These terms, together with any service agreements and our privacy policy, form the entire agreement between you and Strata Initiative regarding your use of our services, and supersede all prior agreements and understandings.
